TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of www.tokentrace.com, any associated member areas or client portals, Token Trace Watch, and the professional services provided by Token Trace LLC ("Token Trace," "we," "us," or "our"). Collectively, these are referred to as the "Services."

By accessing or using the Services, creating an account, purchasing a subscription, or engaging Token Trace, you agree to these Terms. If you do not agree, you should not use the Services.

Certain professional services may also be governed by an engagement letter, statement of work, invoice, proposal, or other written agreement. If there is a conflict between these Terms and a separately executed agreement, the separately executed agreement will control with respect to the applicable engagement.


1. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, law firm, government agency, financial institution, or other organization, you represent that you are authorized to accept these Terms on its behalf.


2. TOKEN TRACE SERVICES
Token Trace provides services that may include:

• Blockchain tracing and forensic analysis
• Cryptocurrency theft and fraud investigations
• Wallet and transaction risk review
• AML, KYT, sanctions, and compliance support
• Technical assessments and investigative consulting
• Monitoring of specified public blockchain addresses
• Educational resources, directories, and scam-awareness materials
• Other related professional services agreed to in writing

The scope, timing, price, and deliverables for a professional engagement may be described in a separate proposal, invoice, engagement letter, statement of work, or other written communication.

Information provided through the Site, blog, directories, guides, Scam Tracker, or other public resources is for general informational purposes only. It does not constitute legal, financial, tax, investment, cybersecurity, or law-enforcement advice.

Token Trace is not a law firm, law-enforcement agency, cryptocurrency exchange, financial institution, asset custodian, or recovery agent.


3. TOKEN TRACE WATCH
Token Trace Watch is a subscription-based blockchain monitoring service available to eligible clients. It may provide periodic reviews of specified public blockchain addresses, case-status information, monitoring history, notifications, and related information through a private client portal or other communication channel.

Token Trace Watch is a monitoring and notification service only. It is not:

• Continuous or real-time surveillance
• An emergency response service
• A cryptocurrency custody service
• A wallet or exchange service
• A legal or law-enforcement service
• A guarantee that blockchain activity will be detected immediately
• A guarantee that assets will be frozen, seized, or recovered

Reviews may be performed manually, through automated tools, or through a combination of methods. Monitoring frequency and timing may vary based on the subscription plan, blockchain conditions, operational availability, third-party systems, and the nature of the monitored matter.

Token Trace does not guarantee that every transaction, asset movement, bridge transaction, token swap, privacy-enhancing transaction, attribution change, or other relevant event will be detected or reported within a particular period.

Any status, alert, estimate, attribution, valuation, or assessment provided through Token Trace Watch is based on information reasonably available at the time of review. Blockchain data, token prices, service attribution, and third-party intelligence may be incomplete, delayed, inaccurate, or later revised.

Token Trace Watch does not itself freeze, seize, transfer, secure, or recover digital assets. Any action by an exchange, wallet provider, payment service, law-enforcement agency, court, regulator, legal representative, or other third party is subject to that party’s requirements, discretion, availability, and applicable law.

You are responsible for providing complete and accurate monitored addresses, networks, case details, and contact information. You must promptly notify Token Trace of any relevant changes. Token Trace is not responsible for delays, missed monitoring, or missed communications caused by inaccurate, incomplete, or outdated information supplied by you.

Token Trace may determine that a particular address, network, asset, or matter cannot be effectively monitored. We may decline, limit, suspend, modify, or discontinue monitoring where reasonably necessary for legal, technical, security, or operational reasons.

4. SUBSCRIPTIONS, BILLING, AND AUTOMATIC RENEWAL
Token Trace Watch may be offered through monthly, annual, trial, promotional, or other subscription plans described at the time of enrollment.

By purchasing a recurring subscription, you authorize Token Trace and its payment processor to charge the applicable subscription fee, together with any applicable taxes, to your selected payment method at the beginning of each billing period.

Unless otherwise stated at checkout, subscriptions automatically renew for successive billing periods until canceled.

You may cancel a subscription using the subscription-management features made available through your account or by contacting Token Trace at support@tokentrace.com. Cancellation must be completed before the next renewal date to prevent the next recurring charge.

Cancellation stops future renewals but does not ordinarily result in a refund or prorated credit for the current billing period, except where required by law or expressly agreed to by Token Trace in writing. Access may continue through the end of the paid billing period.

If a free trial is offered, the length of the trial and the price that will apply afterward will be disclosed during enrollment. Unless otherwise stated, the subscription will convert to a paid recurring subscription when the trial ends unless it is canceled before that time.

Token Trace may change subscription prices or plan features prospectively. Where reasonably practicable, we will provide advance notice of a material price change before it applies to a future renewal.

If a payment is declined, reversed, disputed, or otherwise cannot be completed, Token Trace may retry the charge and may suspend or terminate access until payment is received.

Except where required by applicable law or expressly stated otherwise, subscription fees and other amounts paid to Token Trace are non-refundable.


5. NO GUARANTEE OF RECOVERY OR OUTCOME
Token Trace provides analysis, monitoring, reporting, and investigative support. We do not guarantee:

• Recovery of cryptocurrency or other property
• Identification of an offender or wallet owner
• Attribution of an address to a particular person or service
• Acceptance of a report by law enforcement
• Issuance of a subpoena, court order, or legal process
• Cooperation by an exchange or third-party service
• Freezing, restraint, seizure, or return of assets
• Any particular legal, regulatory, financial, or investigative outcome

Blockchain transactions are generally controlled by network participants and third parties outside Token Trace’s control. Outcomes may depend on the timing of a report, movement of funds, available evidence, applicable law, law-enforcement involvement, exchange cooperation, and other circumstances.

No statement by Token Trace should be interpreted as a promise or guarantee of recovery unless expressly stated in a separately executed written agreement signed by Token Trace.


6. ACCOUNTS AND CLIENT PORTAL ACCESS
Certain Services, including Token Trace Watch, may require an invitation, membership account, subscription, or client-portal access.

You agree to:

• Provide accurate and current account information
• Maintain the confidentiality of your login credentials
• Use reasonable measures to protect your account
• Notify Token Trace promptly of suspected unauthorized access
• Use only the account and case information assigned to you

You may not share credentials with unauthorized persons, access another client’s information, circumvent access controls, or attempt to obtain data that you are not authorized to view.

You are responsible for activity conducted through your account unless caused by Token Trace’s failure to use reasonable security measures.

Token Trace may suspend, restrict, or terminate account access where reasonably necessary to protect client information, investigate suspected misuse, address nonpayment, comply with law, or protect the security and operation of the Services.


7. USER-SUBMITTED INFORMATION AND MATERIALS
You may provide Token Trace with information such as:

• Wallet addresses
• Transaction hashes
• Screenshots
• Emails and communications
• Police reports
• Exchange correspondence
• Identity or contact information
• Spreadsheets and transaction records
• Descriptions of scams, disputes, losses, or suspicious activity
• Other documents or evidence

You represent that:

• The information is accurate to the best of your knowledge
• You have the legal right or authority to provide it
• Providing it does not violate applicable law or another person’s rights
• You will not knowingly submit false, fabricated, misleading, or malicious allegations

You retain ownership of materials you submit. You authorize Token Trace to access, store, reproduce, analyze, organize, and use those materials as reasonably necessary to evaluate an inquiry, provide Services, maintain records, communicate with relevant parties, protect legal rights, or comply with applicable law.

You should not provide seed phrases, private keys, wallet passwords, exchange passwords, authentication codes, or other credentials that can be used to access or transfer digital assets. Token Trace will never require your seed phrase or private key to perform its Services.


8. SCAM TRACKER AND COMMUNITY INTELLIGENCE
Token Trace may maintain a Scam Tracker, watchlist, community-intelligence resource, or similar database containing websites, domains, wallet addresses, social-media accounts, company names, or other identifiers associated with suspected cryptocurrency scams or suspicious conduct.

Listings may be based on:

• Reports submitted by individuals
• Publicly available information
• Blockchain analysis
• Investigative research
• Information received from third parties

Information may not be independently verified in every case.

The Scam Tracker and community-intelligence resources are provided for general informational and awareness purposes only. Inclusion of a website, address, person, company, or other identifier does not constitute a legal determination, judicial finding, formal accusation, or guarantee that unlawful conduct occurred.

The absence of a website, address, person, company, or identifier from these resources does not mean that it is legitimate, safe, or trustworthy.

Users must conduct their own due diligence and should not rely solely on Token Trace’s public resources when making financial, legal, security, or other decisions.

Token Trace may review, edit, decline, redact, update, archive, or remove any report or listing at its discretion. Submission of information does not guarantee publication or investigation.

A person or organization that believes a listing is inaccurate may contact support@tokentrace.com. Token Trace may review the request but does not guarantee removal or modification.


9. ACCEPTABLE USE
You may not use the Services to:

• Violate any applicable law or regulation
• Submit information you know to be false or misleading
• Harass, threaten, defame, impersonate, or unlawfully monitor another person
• Gain unauthorized access to accounts, wallets, systems, or information
• Facilitate theft, fraud, money laundering, sanctions evasion, or other illegal activity
• Upload malware or interfere with the operation or security of the Site
• Scrape, copy, index, or harvest Site content through automated means without permission
• Reverse engineer or attempt to bypass technical restrictions
• Use Token Trace reports, data, branding, or materials in a misleading manner
• Represent that Token Trace has endorsed a person, business, claim, or legal position when it has not

Token Trace may investigate suspected misuse and may preserve or disclose relevant information where reasonably necessary to protect rights, prevent harm, or comply with law.


10. INTELLECTUAL PROPERTY
The Site and its content, including text, graphics, designs, logos, databases, reports, diagrams, methodologies, educational materials, and other content created by Token Trace, are owned by Token Trace or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, Token Trace grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful personal or internal business purposes.

You may not reproduce, republish, distribute, sell, sublicense, modify, commercially exploit, or create derivative works from Token Trace content without prior written permission, except as permitted by law or expressly authorized in an engagement agreement.

Client-specific reports and deliverables may be used for the purposes described in the applicable engagement. Ownership and permitted use of those deliverables may also be addressed in a separate written agreement.


11. THIRD-PARTY SERVICES, DATA, AND LINKS
The Services may rely on or contain information from third parties, including:

• Public blockchain networks
• Blockchain explorers
• Blockchain analytics providers
• Token-pricing services
• Cryptocurrency exchanges and wallet providers
• Hosting and website-service providers
• Payment processors
• Email and communication providers
• Other data, technology, or professional-service providers

Token Trace does not control these third parties and is not responsible for their availability, security, accuracy, policies, conduct, or decisions.

Third-party data may contain errors, omissions, delays, or attribution changes. Token Trace may update its analysis when new information becomes available but is not obligated to continuously revise previously delivered work unless separately agreed.

Links to third-party websites are provided for convenience or informational purposes and do not necessarily imply endorsement.


12. PRIVACY
Our collection, use, retention, and disclosure of personal information are described in our Privacy Policy:

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

13. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, TOKEN TRACE WATCH, PUBLIC RESOURCES, AND OTHER SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TOKEN TRACE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

TOKEN TRACE DOES NOT WARRANT THAT:

• THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
• ALL BLOCKCHAIN ACTIVITY WILL BE DETECTED
• ALL INFORMATION OR ATTRIBUTIONS WILL BE COMPLETE OR ACCURATE
• A THIRD PARTY WILL TAKE ANY PARTICULAR ACTION
• THE SERVICES WILL RESULT IN RECOVERY OR ANY OTHER SPECIFIC OUTCOME

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

14. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TOKEN TRACE LLC AND ITS MEMBERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, DIGITAL ASSETS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES.

TOKEN TRACE IS NOT LIABLE FOR:

• ACTIONS OR OMISSIONS OF BLOCKCHAIN NETWORKS OR THIRD PARTIES
• DELAYS OR FAILURES BY EXCHANGES OR LAW ENFORCEMENT
• CHANGES IN TOKEN VALUE
• MOVEMENT, CONCEALMENT, SWAPPING, OR LOSS OF DIGITAL ASSETS
• INACCURATE INFORMATION PROVIDED BY A USER
• OUTAGES, ERRORS, OR LIMITATIONS IN THIRD-PARTY DATA OR SYSTEMS
• UNAUTHORIZED ACCOUNT ACCESS NOT CAUSED BY TOKEN TRACE’S FAILURE TO USE REASONABLE SECURITY MEASURES

TO THE FULLEST EXTENT PERMITTED BY LAW, TOKEN TRACE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PROFESSIONAL ENGAGEMENT WILL NOT EXCEED THE AMOUNT YOU PAID TOKEN TRACE FOR THE PARTICULAR SERVICES GIVING RISE TO THE CLAIM.

FOR A CLAIM ARISING SPECIFICALLY FROM TOKEN TRACE WATCH, TOKEN TRACE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE SUBSCRIPTION FEES ACTUALLY PAID BY YOU FOR TOKEN TRACE WATCH DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.


15. INDEMNIFICATION
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Token Trace LLC and its members, owners, employees, contractors, and agents from third-party claims, liabilities, losses, damages, and reasonable expenses arising out of:

• Your unlawful or unauthorized use of the Services
• Information or materials you submit
• Your violation of these Terms
• Your violation of another person’s rights
• Your fraud, willful misconduct, or knowing misrepresentation

Token Trace may assume control of the defense of a covered claim, and you agree to provide reasonable cooperation.


16. SUSPENSION AND TERMINATION
Token Trace may suspend, restrict, or terminate access to any Service if:

• You violate these Terms
• Payment is overdue or reversed
• Your use creates a security, legal, or operational risk
• We suspect fraud or unauthorized access
• Continuing the Service would be unlawful or technically impracticable
• The applicable service or plan is discontinued

Termination does not eliminate payment obligations or other responsibilities that arose before termination.

Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions—will remain in effect.


17. ELECTRONIC COMMUNICATIONS
You consent to receive communications from Token Trace electronically, including by email, through the Site, or through a client portal.

Electronic communications, notices, invoices, disclosures, and agreements satisfy any legal requirement that they be provided in writing, to the extent permitted by law.

You are responsible for maintaining a current email address and checking communications relating to your account or Services.


18. CHANGES TO THE SERVICES OR THESE TERMS
Token Trace may update, modify, suspend, or discontinue portions of the Site or Services.

We may also update these Terms. The revised version will be posted on this page with an updated "Last Updated" date.

Where required by law, or where a change materially affects a paid subscription, we may provide additional notice. Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.


19. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services must be brought in the state courts located in Middlesex County, Massachusetts, or the federal courts of the United States District Court for the District of Massachusetts, unless applicable law requires otherwise.

You and Token Trace consent to the personal jurisdiction of those courts.


20. MISCELLANEOUS
These Terms, together with the Privacy Policy and any applicable engagement agreement, constitute the entire agreement regarding the subject matter they address.

If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.

Token Trace’s failure to enforce a provision is not a waiver of that provision.

You may not assign your rights or obligations under these Terms without Token Trace’s written consent. Token Trace may assign its rights and obligations in connection with a merger, reorganization, sale of assets, or similar transaction.

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between you and Token Trace.

Headings are included for convenience and do not affect interpretation.
